Telecom Argentina told securities regulators that its board accepted Metrotel’s offer on October 14 for the customer portfolios and assets it is required to divest following its acquisition of Telefónica. The price is $450 million plus applicable taxes, payable in installments. It covers both asset transfers and a guaranteed minimum under an infrastructure-sharing arrangement. La Nación and Convergencia Latina reported the decision based on Telecom’s filing. [1][2][3]

The package includes mobile and residential internet customers, spectrum-use rights, the network core and part of the fiber-to-the-home network deployed in Buenos Aires. It also provides for radio-network sharing, roaming and site-sharing agreements, transitional services and a license to use the Tuenti brand in Argentina. Acceptance of the offer follows Metrotel’s clearance as a buyer; it does not mean customers or network assets have already moved to the company. [1]

Telecom still has to sign definitive agreements and carry out the planned transfers. The filing gives no customer migration date and announces no immediate changes to prices or service.
