Sweden clears Telenor’s Bahnhof acquisition; closing is still pending
The competition authority raised no objection to the deal announced in July. Telenor says regulatory conditions are satisfied, but steps remain before control changes hands.
Sweden’s competition authority cleared Telenor Sverige’s acquisition of control of Bahnhof on November 2. The regulator left the transaction without action after examining competition mainly in fixed fibre broadband. The decision allows the purchase to proceed, but it does not establish that the share transfer has been completed. [1]
Telenor said all regulatory conditions have been met and it is working through the remaining steps before closing. Bahnhof likewise said Telenor will become its majority owner when the transaction is completed. Neither company’s statement gives an effective closing date. [2][3]
The agreement with the principal shareholders was announced in July, before this story’s news window. Mobil.se’s coverage puts the enterprise value of all of Bahnhof at SEK6.1 billion and says Telenor plans to make an offer to the remaining shareholders after closing. These are deal terms, rather than a new payment confirmed by the clearance. [4]
For Sweden’s market, the clearance removes an obstacle to a significant fixed broadband transaction. The regulator concluded that the notified concentration would not significantly impede effective competition. Promises of more investment and broader services come from Telenor; they are not observed customer outcomes. The image shows a Bahnhof facility in Stockholm in 2012 as an archive photo, not the regulatory decision. [1][2]
